Terms of Service
1. Who we are and when these terms apply
This site and these services are provided by Robert Ralph, LLC, dba Farmer Bob's Amazon Advisory ("Farmer Bob," "we" or "us"). These terms apply when you use heyfarmerbob.com and when you buy our services, including by paying a setup fee or monthly fee online. By checking the box at checkout or paying an invoice, you agree to them on behalf of your business.
If your business has signed a Client Service Agreement with us, that agreement controls wherever it differs from these terms.
2. The services
We provide a one-time launch or setup service for the products you choose, and then ongoing Amazon management under the monthly plan you choose. The plan, the products covered and the price are those shown at checkout, on your invoice or in your written proposal.
A product means one parent ASIN, counted once however many sizes, colors or flavors it comes in.
We rework, resize and optimize photos, video and copy you already own or supply. We don't do photo or video shoots, packaging design or other new creative production.
The services don't include legal, tax, accounting, customs or regulatory advice, product testing or certification, trademark filings, buying inventory, freight or warehousing, or work on sales channels other than Amazon, unless we agree to them in writing.
3. Your responsibilities
You own your Amazon Seller Central, Brand Registry and advertising accounts, in your business's name, and you are the seller of record. You give us user permissions to do the work. We will never ask for your main account password, two-step verification codes, banking details or government ID.
You give us accurate product information and respond to requests for information and approvals within 5 days. Timelines move when responses are late.
You are responsible for your products: their safety, labeling, regulatory compliance, intellectual property and the truth of the claims you provide or approve. You confirm you have the right to use the trademarks, images and content you give us.
You pay Amazon's fees, your advertising spend, inventory, freight, prep and other third-party costs directly. They are not part of our fees. We keep advertising within the budget you approve and ask before raising it.
4. Fees and payment
The setup fee is due when you sign up, and work begins once it is paid. Products added later are billed at the same per-product rate.
The monthly fee begins on the date your first product goes live on Amazon. The first month is prorated, and later months are charged in advance on the first of each month. Products above your plan's limit add the per-product monthly fee shown in your plan.
Payments are processed by Stripe and charged automatically to the payment method you authorize. You authorize recurring monthly charges until the service ends.
If a payment fails or is more than 10 days late, we may pause the services after letting you know. Late balances accrue 1.5% a month, or the legal maximum if lower. Fees don't include sales tax, which you pay if it applies.
We will give at least 60 days' notice before changing a monthly price, and you can cancel before the change takes effect.
5. Cancellation and refunds
Plans are month to month with no minimum term. Either of us can end the service with 30 days' written notice; email is fine. You pay the monthly fee through the notice period and we keep working through it.
If the service ends before your first product goes live, no monthly fee is owed. The setup fee pays for work that starts right away, so it is non-refundable once we have begun. Monthly fees already paid for the notice period are not refunded.
Either of us can end the service immediately if the other materially breaches these terms and doesn't fix it within 10 days of notice. We can also stop if continuing would mean breaking Amazon's policies or the law.
When the service ends, we leave your listings, campaigns and settings in place, send you copies of the work we created for you on request, and stop accessing your accounts. We delete your Amazon account data and access tokens within 30 days of the service ending or you revoking access, whichever comes first.
6. No guaranteed results
Amazon results depend on things outside our control, including Amazon's policies, algorithms, fees and enforcement, competition, pricing, reviews, inventory and demand. We don't guarantee any sales, ranking, advertising return, approval or timeline.
Amazon can change its rules or restrict listings and accounts at its own discretion. We help you respond as part of the service, but we aren't responsible for Amazon's decisions unless they were caused by our own breach of Amazon's policies.
We do the work professionally, in line with Amazon's published policies, with the care of an experienced Amazon seller.
7. Ownership and confidentiality
You own your accounts, brand, products and data, and, once paid for, the listing content, edited images and video, and ad campaigns we create for you. We keep our own methods, templates and software, including WhatBox.
We each keep the other's non-public information confidential and use it only for the services. We use your Amazon account data only to serve you, keep it encrypted in transit and at rest, handle it under Amazon's data protection policies, and never sell it. Our Privacy Policy explains where it is stored.
We won't name you as a client or publish your results, logo or a testimonial without your written approval.
8. Limits of liability
Neither of us is liable for indirect or consequential damages, or for lost profits or sales. Except for unpaid fees, confidentiality breaches, gross negligence or willful misconduct, each party's total liability is limited to the fees you paid us in the 3 months before the claim.
You will defend us against third-party claims about your products or the materials you supply, and each of us will defend the other against claims caused by our own gross negligence, willful misconduct or breach of these terms.
9. Using this website
The articles, videos, calculators and examples on this site are general information, not advice for your situation, and estimates are not quotes. The site's content belongs to us. Please don't copy it for commercial use without permission.
How we collect and use information is explained in our Privacy Policy.
We are an independent consultant. We are not affiliated with or endorsed by Amazon. Amazon and related marks belong to Amazon.com, Inc. or its affiliates.
10. Disputes and general terms
If there's a disagreement, we'll first try to work it out directly for at least 30 days. These terms are governed by Kansas law, and any lawsuit will be brought in the state or federal courts serving Franklin County, Kansas.
We are an independent contractor. Neither of us is responsible for delays caused by events outside our reasonable control, other than paying what is owed. If any part of these terms can't be enforced, the rest still applies.
We may update these terms. The version shown on the day you sign up applies to your purchase, and price changes follow the notice rule above.
